Welcome to Whitespace Studios! These Terms of Service ("Terms") apply when you engage us to provide any of our services, including web design, development, consultation, or related digital services. By working with us, you agree to the following terms.

1. Our Services

Whitespace Studios provides web design, development, and digital consulting services tailored to your business needs. All services are outlined in a proposal or agreement specific to each project.

We reserve the right to decline projects that fall outside our expertise or conflict with our ethical guidelines.

2. Engagement and Project Scope

Each project will begin with a clearly defined scope, timeline, and price (provided via proposal, quote, or agreement). Any changes to the scope may result in additional costs or adjusted delivery dates.

We are not responsible for delays caused by the client (e.g. content not provided on time).

3. Client Responsibilities

You agree to:

Provide accurate and complete information needed to deliver the project
Supply all required content, images, and approvals in a timely manner
Review deliverables and provide feedback within agreed timeframes
Make payments on time, as outlined in your invoice

Failure to meet these responsibilities may delay the project or result in additional charges.

4. Pricing and Payment

All pricing is in New Zealand Dollars (NZD) and excludes GST (unless otherwise stated).
Invoices must be paid according to the payment schedule outlined in your quote or invoice (typically 50% deposit upfront, and the balance on completion).

Late payments may incur interest or suspension of services.

5. Intellectual Property

You retain ownership of all content and materials you provide to us.
Upon full payment, you will own the final website design, visuals, and code developed specifically for you (unless otherwise agreed).
We reserve the right to showcase completed work in our portfolio or marketing material, unless you request otherwise in writing.

We do not transfer ownership of third-party tools, plugins, or frameworks used in your project.

6. Revisions and Changes

Each project includes a set number of revisions, defined in your proposal. Additional changes beyond the agreed scope will be charged at our current hourly rate or a revised quote.

7. Third-Party Services

Some services may rely on third-party platforms (e.g. hosting, domain providers, email services, fonts, plugins). While we may assist in setup or integration, you are responsible for maintaining those accounts and understanding their terms of use.

We are not liable for any third-party service interruptions or issues.

8. Cancellations and Termination

You may cancel a project at any time by notifying us in writing. In that case:

You will be invoiced for any work completed up to the cancellation date.
Deposits are non-refundable unless otherwise agreed.

We may terminate a project if:

The client is unresponsive for 30+ days
Payments are significantly overdue
There is a breach of these Terms

In either case, you will retain rights to completed work that has been paid for in full.

9. Limitation of Liability

To the extent allowed by New Zealand law, Whitespace Studios is not liable for:

Any indirect, incidental, or consequential loss
Website downtime, security breaches, or SEO performance
Any loss of business, income, or data resulting from use of our services

Our total liability for any claim is limited to the total amount you paid for the relevant services.

10. Privacy and Data

We take your privacy seriously. See our Privacy Policy to understand how we collect, store, and use your information in accordance with the New Zealand Privacy Act 2020.

11. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be handled in New Zealand courts or via mediation if both parties agree.
